Prudent business owners plan for the worst and hope for the best. While you may get along well with your partner, you may not want to be partners with their spouse. This could occur if your partner and his or her spouse were to divorce and interest in your business is transferred to them.

Nebraska law generally requires that assets between spouses be equitably divided in a divorce. Ownership interests in your business certainly constitute an asset and could end up in the hands of the spouse that you never planned to operate a business with. To help ensure that ownership interests could not be transferred to a spouse it is best to have a Partnership Agreement, often called a buy-sell agreement, in place ahead of time. It is cost effective even for small businesses to plan for the future and avoid litigation and court costs before the need arises.

Madathil Law Office helps small businesses plan for the future and have a framework in place that protects the business if partners ever decide to go separate ways, or a partner must liquidate their assets for any reason.

Contact Madathil Law Office today if you would like to learn more about how to plan for the future of your business.

  • 02/01/13--10:54: Make your competition drool!
  • Design engineering is a vital component to every audio-visual project, new or redesigned. Whether you have a traditional conference room, classroom, auditorium, or a unique space with specialized components, proper system design should be carefully considered.

AVI Systems' focus on design engineering ensures that you will benefit from our ultimate goal of creating "walk up and use" technology. Our System Design Engineers want to ensure that everyone will feel comfortable using the audio-visual tools provided to them without being intimidated by the complexity of technology behind those tools. This includes making sure that the room environment is arranged with the best lighting, acoustics, floor and wall coverings, as well as the proper furniture to encourage productivity and creativity.

Before beginning a project, we first carefully consider your location, room size, shape, and budget constraints. We then use these parameters to collaborate on a project that addresses the daily necessities and ultimate goals of your system. The attention paid in this early stage can save thousands, if not tens of thousands, in reconfiguration costs later on.

Since there are no "cookie cutter" answers when it comes to creating a world-class audiovisual project, you'll find that our commitment to detail continues throughout the entire project process. Our System Design Engineers combine 35 years of computer, electrical and mechanical engineering skills to find state-of-the-art solutions to your audio-visual, telepresence and broadcast requirements.

AVI Systems has an excellent track record of tackling challenging design situations and creating integrated customization for every need. Our relationship with the world's leading equipment manufacturers and our experience with complex design and implementation is your key to success. Please contact us for details and to learn how AVI Systems can work with you on your project.

Sometimes businesses ask employees to sign a non-compete agreement at some point in their employment. Nebraska Courts have narrowly defined the permissible scope of covenants not to compete contained in employment agreements to include only "customer specific" restraints.

For example, in Polly v. Ray D. Hilderman & Co., 225 Neb. 662, 668, 407 N.W.2d 751, 756 (1987), the Nebraska Supreme Court held that a covenant not to compete in an employment agreement "may be valid only if it restricts the former employee from working for or soliciting the former employer's clients or accounts with whom the former employee actually did business and has personal contact." (Emphasis supplied.)

See, also, Boisen v. Petersen Flying Serv., 222 Neb. 239, 383 N.W.2d 29 (1986) (holding that covenant not to compete was unreasonable and unenforceable in part because employee had no personal and business-based contact with employer's customers or prospective customers). The permissible scope of a covenant not to compete ancillary to the sale of a business is not as narrowly limited. You can see our earlier blog posting on this issue here.

Even where such a sale involves a list of specifically identified customers, there may be legitimate reasons why the purchaser must also restrict the seller from competing in a reasonably defined geographic area in order to protect the benefit of his bargain. However, such reasons must be shown in order to establish the reasonableness of a geographic restriction. There must be evidence in the record to support the contention that the seller must be restrained from competing in areas which he served prior to the sale in order to protect the value of the goodwill and trade name purchased.

    Hy-Vee to Host
    National Radio Personality Andy Greenberg's
    First Book Signing!

(Omaha, NE ) Andy Greenberg's "Your HIgh" has been released and the very first book signing will be hosted by Hy-Vee at 132 and Dodge on Saturday February 09, 2013 from 10:00 A.M -2:00 P.M. The book is a collection of his best motivational vignettes that are broadcast on hundreds of radio stations across the country each week on the Radio America Network since May 2011. He also appears daily on The Good Morning Show with Gary Sadlemyer on 1110KFAB for the past 3.5 years.

"Andy is a natural and his book is one of the most unique motivational and inspirational books we have reviewed in a long time," explained Tate's Tracy Baker. "His ability to take everyday objects and events and turn them into usable and effective techniques for both professional and personal growth is very refreshing. I can understand why his features are so popular on Omaha's 1110 KFAB's "The Good Morning Show with Gary Sadlemyer" where it started over three years ago and then went national on the Radio America Network. We look forward to releasing the book in February 2013. Tate Publishing will be launching an all out publicity campaign including TV ads, Web sites and social media support, as well as book signings as part of the marketing of the book. His book is featured in a movie "A Long Way Off" to be released in September.

"Partnering with Tate Publishing is an authors dream," explained Greenberg. "They are swift, professional and have an outstanding support system that touches all the steps. I am also very grateful to Marian Shalander Kaiser who has been a key co-writer of this book."

Mike Paradiso, Radio America Chief Operating Officer added, "We are thrilled with Andy's entertaining delivery and the connection our audience has made with "Your Daily HIgh".
Gary Sadlemyer, Program Director of 1110 KFAB, remarked, "At first I was hesitant as to how many Andy could produce. He has recorded over 700 of his original morning messages, and each one is different. His book will reach those who are unable to hear him in Omaha or around the country."

Andy Greenberg transitioned to a speaker-trainer and author after completing 35 years in corporate America as a sales and marketing professional. He lives in Omaha, NE, where his business "Speaking of Andy Greenberg" is based.
